Terms & Conditions.

Introduction

These Terms and Conditions govern all services provided by PradoGee Media LLC ("PradoGee," "we," "us") to our clients ("Client," "you"). By engaging our services, signing a proposal, or making a payment, you agree to these terms in full.

Services

PradoGee Media provides brand strategy, web design and development, content creation, social media management, digital automation, event production, and related creative and marketing services. The specific scope of services for each engagement is outlined in your signed proposal or service agreement. Services outside that scope may be quoted and billed separately.

Payment Terms

Retainer clients are billed monthly in advance. Project-based clients are billed according to the payment schedule outlined in their proposal, typically a deposit before work begins and the remainder upon completion. Invoices are due within 7 days of receipt. Accounts more than 14 days past due may result in a pause of all active services. Accounts more than 30 days past due may be referred to collections. Late payments accrue a fee of 1.5% per month on the outstanding balance.

Minimum Commitment

Retainer agreements require a minimum three-month commitment. After the initial three months, agreements continue month to month and may be cancelled with 30 days written notice.

Refund Policy

Due to the nature of creative and digital services, all payments are non-refundable once work has commenced. If PradoGee fails to deliver agreed-upon services, we will work with you to resolve the issue or issue a credit toward future services at our discretion.

Intellectual Property

Upon receipt of full payment, the Client owns all final deliverables created specifically for them, including logos, website designs, and written content. PradoGee retains the right to display completed work in our portfolio and marketing materials unless the Client requests otherwise in writing. PradoGee retains ownership of all proprietary tools, templates, workflows, and systems used in delivering services.

Client Responsibilities

The Client agrees to provide timely feedback, necessary assets, account access, and approvals needed to complete the work. Delays caused by the Client may affect timelines and are not the responsibility of PradoGee. The Client is responsible for ensuring all content they provide does not infringe on third-party rights.

AI Tools Disclosure

PradoGee uses AI-assisted tools in the creation of content, copy, and strategy. All AI-generated work is reviewed, edited, and approved by our team before delivery. Client data is not used to train any AI models.

Confidentiality

Both parties agree to keep confidential any proprietary information shared during the engagement. PradoGee will not share your business information, strategies, or data with third parties without your consent, except as required by law.

Termination

Either party may terminate services with 30 days written notice after the initial three-month commitment. PradoGee reserves the right to terminate immediately if a Client is abusive, non-communicative for more than 30 days, or in material breach of these terms. Any outstanding balance is due upon termination.

Governing Law

These Terms and Conditions are governed by the laws of the State of California. Any disputes will be resolved in Alameda County, California.
